Terms of Service

Last updated January 2026. These terms govern your use of ResourceFlow.

1. The Company

ResourceFlow is operated by ResourceFlow Inc., a company organized under the laws of the State of Minnesota, with its principal office at IDS Center, 80 South 8th Street, Suite 900, Minneapolis, MN 55402. By accessing or using ResourceFlow (the “Service”), you agree to these Terms of Service.

2. Accounts

You are responsible for safeguarding your account credentials and for all activity under your account. You must provide accurate information and promptly update it. You must be at least 18 years old and authorized to bind your firm to these terms.

3. Acceptable Use

You agree not to use the Service to:

  • Upload unlawful content or content you lack the right to store or share;
  • Attempt to access another firm's vault, records, or audit data;
  • Circumvent security, access controls, encryption, or rate limits;
  • Use the Service to transmit malware or conduct unauthorized security testing.

4. Termination & Retention

You may close your account at any time. We may suspend or terminate access for breach of these terms. On termination, you may export your documents and audit log. Unless a longer period is required by law or an active legal hold, residual records are retained for up to ten (10) years and then disposed of in a logged, defensible manner.

5. Limitation of Liability

The Service is provided “as is.” To the maximum extent permitted by law, ResourceFlow Inc. is not liable for indirect, incidental, or consequential damages. Our aggregate liability is limited to the amounts you paid for the Service in the twelve (12) months preceding the claim.

6. Governing Law

These terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state and federal courts located in Hennepin County, Minnesota (Hennepin County state courts and the U.S. District Court for the District of Minnesota).

6.1 Consumer Protection

Nothing in these terms limits rights you may have under the Minnesota Prevention of Consumer Fraud Act (Minn. Stat. §§ 325F.68–325F.70) or the Minnesota Uniform Deceptive Trade Practices Act (Minn. Stat. §§ 325D.43–325D.48), which are enforced by the Minnesota Attorney General's Office.

6.2 Dispute Resolution

Before formal proceedings, the parties will attempt good-faith resolution for sixty (60) days. Disputes not resolved will be settled by binding arbitration under the AAA Commercial Arbitration Rules, seated in Hennepin County, Minnesota. You and ResourceFlow Inc. waive any right to participate in a class action.

7. Email Communications

Purpose. With your account you receive service emails — document-share notifications, file-request reminders, access and security alerts, and account notices — that are necessary to operate your account. With separate opt-in, you may also receive occasional product news.

Frequency. Service emails are sent as events occur. Optional marketing is limited to no more than two (2) emails per month.

Costs. ResourceFlow is an email-only product. Message and data rates may apply depending on your email and internet provider.

Unsubscribe & HELP. You can unsubscribe from marketing email at any time via the link in any email's footer, or by emailing support@resourceflow.net. For help, contact us at the same address or call (612) 314-8870. Unsubscribing from marketing does not stop essential account and security notifications.

Eligibility. By providing your email you confirm it belongs to you and you are authorized to receive communications at it.
